ABOUT THE TEAM
The Legal, Risk & Compliance (LRC) team at Airwallex is a collaborative group of legal minds and risk management experts. We're passionate about safeguarding Airwallex's operations, fostering a culture of compliance and ethical conduct, and ensuring we navigate the global financial landscape with integrity. We provide expert guidance and support to all areas of the business, proactively identifying, mitigating, and managing legal, compliance and financial risks.
WHAT YOU’LL DO
As a Corporate Paralegal, you will provide day‑to‑day support to the Corporate Legal team across contracts, corporate governance and M&A matters, helping to run the “engine room” of the function so our lawyers can focus on high‑impact, strategic work.
You will review and draft NDAs, vendor contracts and other corporate documents, maintain accurate entity and governance records, support due diligence and documentation on M&A transactions, and help keep our policies, manuals and procedures up to date in a fast‑growing, global fintech environment.
This role is based in San Francisco or New York.
RESPONSIBILITIES:
- Provide day‑to‑day support to the Corporate Legal team on a wide range of corporate, commercial and governance matters, including triaging and tracking legal requests from stakeholders across the business.
- Review, draft and manage routine agreements and legal documents, including NDAs, vendor and procurement contracts, services agreements, and other non‑revenue commercial contracts, using templates and playbooks provided by Corporate Legal.
- Assist with the drafting, formatting and maintenance of compliance manuals, corporate policies, procedures and playbooks owned or supported by Corporate Legal, ensuring these are version‑controlled, centrally stored and communicated to relevant teams.
- Support corporate governance and entity management activities, including preparing board and shareholder resolutions, maintaining corporate records and registers, coordinating routine filings, and helping keep global entity information (e.g., directors, officers, authorised signatories) accurate and up to date.
- Assist the Corporate Legal team in M&A and strategic transactions by helping with due diligence (collecting and organizing documents, reviewing contracts and corporate records), preparing ancillary documentation, and coordinating execution and closing processes under lawyer supervision.
- Support legal operations initiatives, including contract lifecycle workflows (e.g., Ironclad, DocuSign), intake and matter management, and basic reporting on volumes and SLAs, while identifying opportunities to streamline processes and increase self‑serve across the business.
WHO YOU ARE
We're looking for people who meet the minimum requirements for this role. The preferred qualifications are great to have, but are not mandatory.
MINIMUM QUALIFICATIONS:
- Degree holder, paralegal qualification, or a diploma in legal studies or a related field.
- 3 years of experience as a corporate paralegal, ideally with law firms, financial institutions, or high‑growth technology / fintech companies, with exposure to corporate governance and contract work.
- Demonstrated experience reviewing and drafting NDAs, vendor or procurement contracts and other routine corporate agreements, and managing contract execution and filing processes.
- Practical experience supporting corporate records and governance (e.g., resolutions, minutes, annual filings, director/officer updates, entity formations) and maintaining organized, accurate legal documentation.
- Strong attention to detail, organization and time‑management skills, with the ability to manage multiple matters and deadlines in a fast‑paced, cross‑border environment.
- Excellent written and verbal communication skills in English, with the ability to summarize legal issues clearly and concisely for non‑legal stakeholders.
- Comfortable working with modern productivity and legal tools (for example, Google Workspace, contract lifecycle management and matter management systems) and keen to learn new technology and processes.
PREFERRED QUALIFICATIONS:
- Experience assisting on M&A transactions or internal restructurings, including due diligence, data room management and preparation of closing and ancillary documents.
- Prior in‑house experience in fintech, payments, financial services or other highly regulated, multi‑entity environments.
- Familiarity with legal operations, including intake/workflow design, metrics and reporting, and the use of LegalTech or AI tools to improve the speed and consistency of legal support.
