Essential Function:
The Senior Corporate Paralegal will play a critical role in supporting the legal and compliance functions of the organization, with responsibilities spanning legal research, document preparation, and regulatory adherence. This individual will assist in drafting and reviewing corporate documents, real estate documents, managing corporate governance tasks, and supporting transactional activities. They will ensure compliance with reporting requirements, while also maintaining accurate and organized records. The role demands proficiency in legal software and data management tools, as well as strong communication skills for collaboration across teams. Additionally, the Senior Corporate Paralegal will oversee real estate closings, notarial services, and document recording with county offices, resolving deed issues and ensuring all filings are timely and compliant with applicable laws. The successful candidate will be organized, consistent, focused, and driven, and have working knowledge of the latest real estate industry practices and regulations. The Senior Corporate Paralegal will be part of our growing legal team and report directly to the Vice President of Legal and Compliance.Β
Role and Responsibilities:
These functions might include but are not limited to:
β’ Draft, update, and maintain corporate entity records across a complex multi-entity organizational structure, ensuring accuracy, consistency, and compliance with state requirements.
β’ Prepare and file personal property tax returns related to leased office space.
β’ Support employment matters, including coordinating responses to discovery, maintaining case files, and working with outside counsel.
β’ Conducting legal research on corporate law, regulations, and compliance matters to provide accurate and relevant support.
β’ Assisting in drafting and reviewing various legal documents, including corporate filings, memorandums, contracts, agreements, and legal correspondence.
β’ Providing support for corporate transactions like assisting with the preparation of necessary documentation and coordinating with relevant parties.
β’ Preparing reports and presentations, maintaining and organizing documentation and records, and identifying potential areas of non-compliance to recommend resolutions.
β’ Proficiently using legal research tools, document management systems, and other legal software, including those for contract management, e-filing, and corporate governance.
β’ Implementing internal policies and procedures and create mechanisms for monitoring compliance
β’ Addressing corporate and compliance issues in the field as they arise and confidently propose creative solutions
β’ Collaborating with legal on multifaceted compliance/legal issues and advice as to risk/liability exposure
β’ Reviewing and drafting nationwide real estate contracts and transaction documents

β’ Knowledge of TCPA, FinCEN, RESPA, Do Not Call, CAN-SPAM, data privacy, U.S. Patriot Act, and Anti-Money Laundering, and real estate regulations
Experience, Skills, & Abilities:
Experience/Skills/Abilities:
β’ 3+ yearsβ experience in real estate, mortgage, lending, finance, or other highly regulated field.
β’ 3+ yearsβ experience in corporate law.
β’ 3+ yearsβ experience in compliance.
Education and Licensing Requirements:
β’ A bachelorβs degree
β’ Notary (RON)
Physical Requirements:
β’ Must be able to remain in a stationary position for 50% of the time
β’ Constantly operates a computer and other office productivity machinery, such as a calculator, copy machine, telephone, scanner, and computer printer
β’ Frequently communicates with job seekers, co-workers, and others. Must be able to exchange accurate information in these situations
β’ Must be able to operate a laptop computer, write and type documents and emails, and read documents
β’ Must be able to lift up to 15 lbs
Travel Requirements:
Able to travel up to 5-10% of the time (minimal travel)
