The Senior Manager, Corporate & Legal Operations is a key member of the legal team, responsible for strategically implementing day-to-day legal operations, managing workflows, and driving efficiency across the department and cross-functional processes. This role will serve as the operational backbone of the legal department, responsible for building the systems, workflows, and infrastructure that allow the legal team to scale with the Company’s rapid growth. This role combines substantive paralegal work with legal operations responsibilities, requiring someone who can move fluidly between hands-on legal support and process improvement. The position includes direct involvement in corporate finance transactions, supporting debt financing and equity raise processes from document management through closing.
Responsibilities
Paralegal Support
Review and organize contracts, corporate documents, and correspondence
Manage legal entities, corporate governance filings, and maintenance of corporate records
Support vendor/third party and corporate due diligence, litigation holds, and document production
Maintain and organize the legal team's document management systems, templates, and precedent libraries
Corporate Finance Transaction Support
Support equity raise transactions, including organization and management of term sheets, stock purchase agreements, investor rights agreements, voting agreements, and related schedules and exhibits
Manage document workflows for debt financing transactions, including credit agreements, promissory notes, security agreements, guarantees, UCC filings, and ancillary closing documents
Coordinate closing checklists, signature pages, and closing binders/sets across internal teams, outside counsel, investors, and lenders
Track and manage conditions precedent and post-closing deliverables, ensuring all parties meet deadlines
Organize and maintain virtual data rooms for fundraising and due diligence processes
Assist with KYC/AML documentation requests from lenders and financial institutions
Legal Operations
Design and optimize legal department workflows, including contract lifecycle management, matter intake, and approval routing
Implement and administer technology tools (e.g., CLM platforms, e-billing systems, matter management software)
Manage relationships with technology providers and external legal vendors
Build reporting dashboards tracking relevant and actionable legal department metrics
Manage legal department budget tracking, outside counsel spend, invoice review and audit processes, in partnership with Finance
Develop and maintain playbooks, process documentation, and training materials for recurring legal workflows, including transaction closing procedures
Coordinate cross-functionally with finance, procurement, HR, and business teams to support legal processes
Identify opportunities to streamline operations, reduce bottlenecks, and improve the team's efficiency and responsiveness
Administration & Project Management
Manage contract renewals and deadlines and compliance reporting obligations
Lead or support special projects as assigned, including policy rollouts, system implementations, and process redesigns
Qualifications
Required
8–12 years of professional experience, including corporate paralegal, legal operations, consulting, or related operational roles; 3+ years of experience in legal operations, legal department management, or legal technology implementation
Direct experience supporting debt financing, equity raise transactions or complex corporate transactions, including document management, virtual data room management, closing coordination, and post-closing administration
Strong working knowledge of contract management, corporate governance, and general business law concepts
Familiarity with common transaction documents (credit agreements, stock purchase agreements, investor rights agreements, UCC filings, and related instruments)
Experience coordinating complex legal workflows across multiple stakeholders
Strong organizational and project management skills with the ability to manage multiple workstreams simultaneously
Excellent communication and cross-functional collaboration skills
Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint), Adobe Acrobat Pro, and document management systems
Preferred
Paralegal certificate from an ABA-approved program or equivalent credential
Experience building or scaling legal operations functions in a high-growth company, including process mapping, reporting, and vendor management
Familiarity with litigation support processes
Experience implementing CLM or other legal technology platforms.
Experience managing legal department budgets and outside counsel spend
Experience supporting regulatory compliance or data privacy programs
Project management training or certification (e.g., PMP, CAPM, or equivalent)
