About the Role
The Corporate Paralegal will be a key member of the Legal team, focusing on corporate and securities matters including SEC and international securities filings. This role supports public company reporting and compliance while handling special projects such as legal research, litigation support, and commercial contract assistance.
Key Responsibilities
- →Assist with preparation, review, and coordination of SEC filings including Forms 10-K, 10-Q, 8-K, and Section 16 filings
- →Maintain corporate records and entity governance documents
- →Support stock administration-related legal tasks
- →Conduct legal and factual research on corporate, securities, and governance topics
- →Provide litigation support including document collection and organization
- →Support legal operations initiatives and special projects
- →Assist with drafting and negotiation of commercial contracts under attorney supervision
- →Help manage calendars, timelines, and project plans for corporate and securities deliverables
Requirements
- ✓Bachelor’s degree and/or paralegal certificate from an ABA-approved program
- ✓2+ years of experience as a corporate paralegal, preferably with public companies
- ✓Direct experience supporting SEC filings
- ✓Strong understanding of corporate governance concepts
- ✓Experience organizing and maintaining corporate records
- ✓Comfort with legal research, document management, and coordination with external counsel
- ✓Excellent attention to detail, organization, and project management skills
- ✓Strong written and verbal communication skills
- ✓High level of professionalism and discretion
- ✓Ability to thrive in a fast-paced environment
- ✓Familiarity with EDGAR filing processes
- ✓Experience with commercial contracts is a plus
- ✓Experience with legal operations tools is a plus
- ✓Experience with stock administration platforms is a plus
