Key Responsibilities
- →Manage key activities of the corporate governance office independently
- →Prepare and distribute board materials and presentations for senior management
- →Ensure agendas and materials adhere to established policies and bylaws
- →Support management of subsidiaries, including restructuring transactions
- →Coordinate with internal and external counsels and business partners
- →Conduct legal and factual research, data analysis, and reporting
- →Maintain knowledge of regulatory requirements and governance best practices
- →Serve as staff to selected boards and committees
- →Draft and review corporate minutes, resolutions, and consents
- →Participate in special projects and process improvements
Requirements
- ✓Experience in corporate governance or related field
- ✓Strong understanding of regulatory requirements and compliance
- ✓Excellent organizational and communication skills
- ✓Ability to work independently and manage multiple priorities
- ✓Knowledge of board operations and committee responsibilities
- ✓Experience with legal research and data analysis
- ✓Familiarity with corporate governance best practices
