About the Role
We are seeking a Corporate Paralegal Specialist to support our legal team with various corporate legal tasks. This role involves preparing and processing legal documents, maintaining corporate records, and providing administrative support to legal counsel.
Key Responsibilities
- →Prepare, process and format general corporate documents including Articles of Incorporation, Bylaws, and organizational minutes
- →Review draft agreements and make recommendations to legal counsel
- →Prepare and file forms with government agencies for corporations and partnerships
- →Update and maintain legal organizational chart and corporate databases
- →Perform routine administrative tasks including filing and correspondence
- →Provide executive administrative support and handle confidential correspondence
- →Maintain secure electronic copies of contracts and control access
- →Maintain insurance records and liaise with insurance carriers
- →Assist with mergers and acquisitions processes
- →Respond to subpoenas and prepare litigation hold memos
- →Conduct special projects as directed
Requirements
- ✓Experience in corporate law and legal document preparation
- ✓Strong organizational skills and attention to detail
- ✓Ability to maintain confidentiality and exercise discretion
- ✓Knowledge of corporate governance and legal procedures
