About the Role
We are seeking a Corporate Secretary based in Malta to own and lead corporate governance and entity management for our Maltese companies. This is a hands-on role that balances strategic guidance with precise execution across multiple entities and deadlines, serving as the primary governance adviser to directors and senior stakeholders.
Key Responsibilities
- →Act as Company Secretary for Maltese entities, advising on governance procedures and statutory duties
- →Plan, convene, and minute Board and shareholder meetings with agendas, board packs, and action tracking
- →Draft, review, and execute corporate documents including resolutions, minutes, and constitutional amendments
- →Maintain statutory registers and corporate books with accurate and timely Malta Business Registry filings
- →Lead the full lifecycle of Maltese entities including incorporations, mergers, and liquidations
- →Liaise with authorities and regulators including Malta Business Registry and MFSA for filings and submissions
- →Support corporate transactions and restructurings with intercompany agreements and closing deliverables
- →Supervise and mentor junior team members, reviewing work and setting priorities
Requirements
- ✓Bachelor’s degree in Law with additional governance or corporate law qualifications preferred
- ✓4+ years of experience in corporate governance, company secretarial functions, or corporate legal work
- ✓Strong knowledge of Maltese company law and corporate governance requirements
- ✓Proven experience preparing and minuting Board meetings and managing statutory filings
- ✓Excellent written and verbal communication skills with ability to advise senior stakeholders
- ✓High attention to detail, strong organizational skills, and ability to manage multiple deadlines
- ✓Proactive, hands-on mindset with ability to work independently and collaboratively
- ✓Fluency in English
